Assistant General Counsel

The office of General Counsel at Tandigm is a key part of a dynamic team of executives, clinicians and other healthcare professionals who work together to engage, enable and empower a network of 425 primary care physicians and more than 800 specialists in the Philadelphia, Pennsylvania market to provide the highest quality value-based healthcare to over 115,000 Medicare Advantage and commercial HMO and PPO beneficiaries. 

In this role, the Assistant General Counsel will support a rapidly evolving business and join the fast-paced, complex and diverse work handled by the General Counsel’s office on a daily basis.  You will work closely with the General Counsel, Deputy General Counsel and other members of Tandigm’s Enterprise Services Department, which includes the General Counsel’s office, office of the Chief Information Security Officer and the Audit and Compliance departments.  You will have an opportunity to grow professionally and will be challenged on a daily basis and expected to play an integral role advising on a wide variety of strategic and regulatory matters.  The Assistant General Counsel will serve as a critical business partner and legal advisor to support Tandigm’s delivery of cutting-edge healthcare, population health and medical practice management services. 

Essential Functions

Under the direction of the General Counsel and Deputy General Counsel, the Assistant General Counsel will: 

  • Participate in all phases of healthcare transactional and regulatory compliance projects, ranging from business case development, due diligence, definitive agreement drafting, review and negotiation, closing and post-closing activities and collaborating with fellow Tandigm Teamates to operationalize new business lines.  
  • Work with clinical and business leads to draft, review and negotiate contracts, including contracts related to professional services, software licensing, employment agreements, memoranda of understanding and many other third-party vendor agreements.  
  • Analyze federal and state healthcare laws and regulations including, for example, the Anti-Kickback Statute, the Civil Monetary Penalties law, the Stark Law and HIPAA. 
  • Provide practical legal advice to all functions of the organization to support daily business operations, Tandigm’s Talent Management (human resources) Department. 
  • Advise senior management in connection with strategic initiatives and priorities through the provision of high-quality legal advice and guidance.
  • Proactively Identify and evaluate changes in the law that may impact the organization and provide guidance on such changes that is consistent with Tandigm’s mission and core values. 
  • Coordinate with the Tandigm Director of Compliance to provide advice related to Medicare Advantage marketing and other Medicare Advantage guidelines.  
  • Assist with internal investigations and fact finding when needed.
  • Support the work of the General Counsel and the Department of Enterprise Services as a whole.
  • Uses, protects, and discloses Tandigm’s patients’ protected health information (PHI) only in accordance with Health Insurance Portability and Accountability Act (HIPAA) standards. 
  • Performs additional duties as assigned. 

Education

  • Juris Doctorate Degree from an accredited law school, with admission to and member in good standing of the Pennsylvania Bar. 

Experience

  • Four to ten (4-10) years of practice, preferably with significant large firm experience, and with a primary focus on healthcare law. 
  • Proven track record of success facilitating progressive organizational change and development within a growing organization.

  • Excellent judgment and creative problem-solving skills including negotiation and conflict resolution skills.
